These Terms of Use ("Terms") govern your access to and use of the Veltone web application (the "Service") operated by Veltone ("we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Veltone is an AI-powered communication tool that helps users translate and draft text in Japanese with appropriate tone and formality. The Service includes:

  • JP↔EN translation with tone control
  • Tone switching for existing Japanese text
  • Email drafting assistance
  • Text understanding and explanation
  • Pronunciation guides (romaji)
  • Text-to-speech synthesis
  • Conversion history management
  • Saved phrases and context presets

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials secure
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity under your account

4. Subscription Plans and Payments

4.1 Free and Paid Plans

Veltone offers both free and paid subscription plans. Free plans have usage limits as described on our pricing page. Paid plans unlock additional features and higher usage limits.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law (including EU consumer protection law, which may provide a 14-day right of withdrawal for digital services) or as explicitly stated in these Terms.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of your current billing period.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit content that is harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Use automated systems (bots, scrapers) to access the Service without our written permission
  • Interfere with the operation of the Service or its infrastructure
  • Share your account credentials with others or allow multiple users to access a single account
  • Circumvent usage limits or access controls

6. User Content

6.1 Ownership

You retain ownership of all text and content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to process it solely for the purpose of providing the Service.

6.2 AI-Generated Output

Translations and text generated by the Service ("Output") are provided for your use. You are responsible for reviewing Output before using it in any context. We do not guarantee the accuracy, appropriateness, or completeness of any AI-generated Output.

6.3 Prohibited Content

You may not submit content that violates applicable laws, infringes third-party intellectual property rights, or contains malware or harmful code.

7. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Veltone and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI-generated translations or text will be accurate or appropriate for your specific context
  • The Service will meet all of your requirements

Important: Veltone is a communication assistance tool. AI-generated translations may contain errors. Always review Output before using it in professional, legal, or sensitive contexts.

9. Limitation of Liability

To the maximum extent permitted by law, Veltone shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

  • Your use of or inability to use the Service
  • Errors or inaccuracies in AI-generated Output
  • Unauthorized access to your account
  • Any third-party conduct on the Service

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Veltone and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or for any other reason at our discretion. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account data after a reasonable period
  • Provisions that by their nature should survive termination will remain in effect

12. Governing Law

These Terms are governed by the laws of Japan. Any disputes arising from these Terms or the Service shall be resolved in the courts of Tokyo, Japan, except that:

  • EU/EEA users retain the right to bring claims in the courts of their country of residence under applicable EU consumer protection law.
  • EU/EEA users retain the right to lodge a complaint with their national data protection authority (DPA) regarding any data processing under the GDPR.

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
